1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you and Pixlo ("we", "us", or "our"), concerning your access to and use of the Pixlo website and mobile application (collectively, the "Services"). You agree that by accessing the Services, you have read, understood, and agree to be bound by all of these Terms of Service. If you do not agree with all of these terms, then you are expressly prohibited from using the Services and you must discontinue use immediately.

2. Intellectual Property Rights

Unless otherwise indicated, the Services are owned by Pixlo and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Services (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws.

You retain ownership of any content you submit, post, or display on or through the Services ("User Content"). By submitting, posting, or displaying User Content on the Services, you grant us a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such User Content in any and all media or distribution methods now known or later developed.

3. User Representations

By using the Services, you represent and warrant that:

• All registration information you submit will be true, accurate, current, and complete.
• You will maintain the accuracy of such information and promptly update such registration information as necessary.
• You have the legal capacity and you agree to comply with these Terms of Service.
• You are not under the age of 13.
• You will not use the Services for any illegal or unauthorized purpose.
• Your use of the Services will not violate any applicable law or regulation.

4. Prohibited Activities

You may not access or use the Services for any purpose other than that for which we make the Services available. Prohibited activities include, but are not limited to:

• Systematically retrieving data or other content from the Services to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
• Tricking, defrauding, or misleading us and other users, especially in any attempt to learn sensitive account information such as user passwords.
• Circumventing, disabling, or otherwise interfering with security-related features of the Services.
• Uploading or transmitting viruses, Trojan horses, or other harmful code.
• Using the Services in a manner inconsistent with any applicable laws or regulations.
• Harassing, annoying, intimidating, or threatening any of our employees or agents engaged in providing any portion of the Services to you.

5. Account Termination

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. If you wish to terminate your account, you may simply discontinue using the Services, or contact us to request account deletion.

6. Limitation of Liability

In no event shall Pixlo, its directors, employees, or agents, be liable to you for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; (iii) any content obtained from the Services; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

7. Disclaimer

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. Pixlo makes no representations or warranties of any kind, express or implied, as to the operation of the Services or the information, content, materials, or products included on the Services. You expressly agree that your use of the Services is at your sole risk.

8. Governing Law

These Terms shall be governed by and defined following the laws of the State of California, United States. Pixlo and you irrevocably consent that the courts of California shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.

9. Changes to Terms

We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Service at any time and for any reason. It is your responsibility to periodically review these Terms of Service to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms of Service by your continued use of the Services after the date such revised Terms are posted.
